A whopping 92% of executives surveyed by PwC think one or more board members should be replaced, according to a survey released last week. That’s compared to 45% of directors who feel the same way.
Executives and board members also diverge on how well directors are performing, according to the PwC survey and another recently released poll of senior executives and board members from Board Prospects, Broadridge and Protiviti.
In order to close this perception gap, sources advise boards and executives to improve lines of communication, update individual and full-board evaluations and ensure that expectations and understanding of the board’s role are clear.
“Boards that are transparent in reporting the results of board evaluations, including the disparities between the views of C-suite executives and board members … are in a better position and more likely to close the [perception] gaps more quickly,” wrote Helle Bank Jorgensen, CEO of Competent Boards, which offers online certification courses, in an email.
